Ambassador Agreement

WHEREAS, the Ambassador is a non-employee of SFN, the Ambassador possesses unique ability as an Ambassador, and whose marketing and sales ability qualifies the Ambassador for invitation to, and enjoyment of, the benefits and responsibilities of Strike First Nutrition.

WHEREAS, SFN,  desires to provide to the Ambassador the opportunity to participate in the programs made available to the Ambassador by SFN,  as members of the Team, and the Ambassador desires to participate in such programs and therefore agrees to accept the responsibilities of team membership as set forth herein.

WHEREAS, this document is intended by the parties to set forth the rights and responsibilities that accompany membership on the Team.

Therefore, SFN, and Ambassador agree as follows:

  • 1. Responsibilities of Ambassador
    1. The Ambassador recognizes that he or she is a role model for SFN
    2. The Ambassador shall give SFN a positive image. Behavior must be appropriate given it will reflect on SFN .
    3. The Ambassador is required to display the following information on his/her social media pages:
      1. “Strike First Nutrition Ambassador ” @strikefirstnutrition
      2. 20% discount using coupon code (Example: 20% off using code “bigtom20”)
    4. The Ambassador agrees to Tag and Hashtag “Strike First Nutrition” in at least 2 original timeline posts per week.
    5. The Ambassador agrees to share at least 1 SFN corporate social media post each week.
    6. The Ambassador MUST generate at least 3 online orders per month. Online orders using the Ambassador’s coupon code will be evaluated every 30 days.
  • Responsibilities of SFN
      1. SFN will provide the Ambassador with 2 complimentary products per month and 40% off any additional products and/or apparel. 
      2. SFN will provide a coupon code to the Ambassador that will be used to track sales generated by Ambassador through Social media and additional marketing strategies. Upon termination of this agreement, the coupon code will no longer be eligible to be used by anyone to include the Ambassador, unless SFN authorize such use.
  • Ambassador Commissions
    1. Ambassador commissions will be determined based upon sales generated using the athletes coupon code.
    1. Ambassador will receive a 10% commission on sales ranging from $1 – $1000 per month.
    1. Ambassador will receive a 15% commission on sales ranging from $1001 – $2000 per month.
    1. Ambassador will receive a 20% commission on sales exceeding $2001 per month.
    1. Ambassador will receive commission payouts for each month of sales by the 15th of the previous month. For example: if an Ambassador’s coupon generates $1645.00 in sales during May or 2019, the Ambassador will be paid $246.75 by the 15th of June.
    1. Ambassador’s will be paid through PayPal ONLY. Ambassador will be 100% responsible for claiming this as additional income when they receive their 1099 from PayPal.
  • Marketing Rights
    1. Upon termination SFN is not responsible for removing any forms of published media until SFN and the Ambassador have come to a mutual agreement and as long as it does not cause harm to SFN.
    1. The Ambassador agrees that when appearing live, for any still photo, film or video intended to depict the Ambassador as a member of the Team, the Ambassador shall wear designated SFN attire.
    1. The Ambassador, upon prior written permission from SFN, may add the logo of a private sponsor as long as it conforms to the requirements of the rules. SFN, will advise the Ambassador as to the placement of the logo. 
    2. Except for those rights specifically granted to SFN, the Ambassador shall retain sole and exclusive ownership of his individual publicity rights. The Ambassador agrees to exercise those rights in such a manner as to not violate SFN.
  • Term and Termination
    1. Termination. This Agreement shall be terminable by either party at any time, and for any reason upon thirty (30) days written notice to the other party of the intent to terminate.  Notwithstanding the above paragraphs, SFN, may terminate this Agreement at any time for Ambassador Misconduct. The term Ambassador Misconduct shall refer to conduct that violates the terms of this Agreement, the SFN, Code of Conduct, the laws of any jurisdiction in which the Ambassador is present, or any conduct which might bring disrepute to, or otherwise harm SFN. 
    2. SFN, has the right to terminate this agreement at anytime for any reason.
  • Miscellaneous
    1. Nothing in this Agreement is intended to nor should it be construed to create an employer/employee relationship between SFN,  and the Ambassador. 
    2. Governing Law. This Agreement shall be construed pursuant to the laws of California without reference to principles governing choice or conflicts of laws. 
    3. Superseding Law or Regulation. Should this Agreement or any provision hereof violate any federal, state or local law or regulation, this Agreement or any provision hereof violates such amendments, the parties shall then negotiate in good faith to modify this Agreement to the extent reasonably necessary to bring about compliance with such law, charter, and/or rules and regulations; provided, however, that if such modification would cause this Agreement to fail in its essential purpose, or the parties are unable to reach agreement after negotiating in good faith, either party may terminate the Agreement.
    4. Headings. The headings in this Agreement are for convenience only and shall not affect in any way the meaning of the provisions to which they refer.
    5. Entire Agreement. This Agreement, together with all exhibits, shall constitute the entire agreement between the parties and shall supercede all prior agreements between the parties relating to the subject matter, written, oral or otherwise.
  • Arbitration
    1. If a dispute arises out of or relates to this contract, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure if no such agreement can me made in 60 days then  any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
